Shareholders are referred to the announcement released on the Stock Exchange News Service (“SENS”) of the JSE and the Regulatory News Service (“RNS”) of the London Stock Exchange on 5 November 2010 in relation to the rights offer by NEPI (“the rights offer”) in terms which NEPI shareholders will be offered 24.21943 new NEPI shares (“rights offer shares”) for every 100 NEPI shares held by them on Friday, 26 November 2010, at a subscription price per rights offer share of EUR2.67 for shareholders on the UK share register and R26.00 for shareholders on the SA register, calculated using a EUR/ZAR exchange rate of EUR1.00:R9.75.
Shareholders are advised that:
- the rights offer circular has been approved by the JSE; and
- the rights offer circular, form of instruction and other documents have been registered with the Companies and Intellectual Property Registration Office, as required by Section 146A of the South African Companies Act (Act 61 of 1973), as amended, and accordingly the rights offer may now be implemented.
The salient dates and times of the rights offer will be the same as those published in the announcement released on SENS on Friday, 5 November 2010 and published in the press in South Africa on Monday, 8 November 2010.
